Grace Terms of Use

These Terms and Conditions ("Terms") are entered into by and between: Ohio Excel LLC, doing business as Grace, ("Company", "we", "us", or "our") and you ("User").

Welcome to Grace – your AI-powered lead nurturing, follow-up, and communication automation platform. Messages are conversational follow-ups regarding customer inquiries and appointments reminders.

These Terms of Use govern your use of the Grace platform and associated services. By accessing or subscribing to Grace, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By using Grace, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you may not use our services.

2. Who We Are

Grace is a product and service offered by Ohio Excel LLC, a Ohio limited liability company, doing business as Grace.

3. Eligibility and Account Access

  • Eligibility: Grace is intended for business use. You must be 18 years or older and authorized to act on behalf of a business or organization to subscribe or use Grace.

  • Account Access: Users are responsible for maintaining secure login credentials and preventing unauthorized access to their Grace account.

4. Subscription & Fees

  • Subscription Plans: Grace is offered on a monthly or annual subscription basis, with pricing dependent on the selected plan and services.

  • Billing: Subscriptions renew automatically unless canceled prior to the renewal date. Payment is processed securely through third-party payment providers.

  • Refund Policy: All payments are non-refundable unless otherwise stated in a separate service agreement or offer.

  • Grace Credits (if applicable): Some features (e.g., SMS usage) may incur additional charges or be subject to usage limits.

5. Use of the Grace Platform

You agree to use Grace solely for lawful business purposes, including but not limited to:

  • Lead nurturing

  • Client communication

  • Marketing automation

  • CRM and contact data management

You may not use Grace for:

  • Sending unsolicited or spam communications

  • Storing or transmitting offensive, harmful, or unlawful content

  • Violating any applicable laws, including marketing or privacy laws

  • Sharing your account with unauthorized users or reselling access to Grace

6. Client & Lead Data

  • Responsibility for Consent: You are solely responsible for ensuring that any contact data you upload or message through Grace (leads, clients, prospects) has been collected lawfully and that appropriate consent has been obtained.

  • Data Ownership: You retain ownership of your contact lists and campaign content. We do not sell your data.

  • Data Processing Role: Grace operates as a data processor and automation service provider on your behalf.

Grace operates as a communication platform. Businesses using Grace are responsible for obtaining proper consent from their own contacts before sending SMS messages.

Grace (Ohio Excel LLC) only sends SMS messages to individuals who have directly opted in to receive

communications from Grace. Consent provided to Grace is not shared with third parties or affiliates for marketing purposes.

Each business using Grace acts as an independent sender and is solely responsible for its own messaging compliance.

7. HIPAA Disclaimer

Important: Grace is not currently HIPAA-compliant and is not intended for use with Protected Health Information (PHI). You agree not to use Grace to collect, store, or transmit PHI unless a formal Business Associate Agreement (BAA) is signed and HIPAA compliance is confirmed.

8. Communication Services (Email, SMS, Voicemail, AI)

Grace is not liable for:

Errors in messages, offers, or content provided by you or your business.

Disputes between you and your leads, clients, or customers.

Losses or damages resulting from the use or inability to use the Grace platform or communication services.

  • Compliance: You are responsible for complying with applicable laws and regulations (such as CAN-SPAM, TCPA, and carrier policies) related to email and SMS marketing.

  • Opt-Out Management: You can cancel the SMS service at any time. Just text "STOP" to the [Phone Number]. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.   • AI & Automation: Some functions of Grace are powered by artificial intelligence and automation. You understand that Grace may automatically send communications, tag contacts, or take other configured actions based on your workflow settings.

  • Carrier Liability Clause

    Carriers are not liable for delayed or undelivered messages.

  • Message and Data Rates

    As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive messaging frequency may vary. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.”


9. Termination & Suspension

  • By Grace: We may suspend or terminate your account for violation of these Terms, non-payment, suspected abuse, or legal requirements.

  • By You: You may cancel your subscription at any time through your account dashboard. No refunds will be issued for partial periods unless otherwise stated.

10. Limitation of Liability

Grace is provided "as-is" and "as-available." We are not liable for:

  • Lost revenue or business resulting from missed or delayed communications

  • Issues related to third-party integrations or service outages

  • Errors in messaging, automations, or user-configured workflows

  • Legal liabilities arising from your misuse of the platform or failure to obtain proper permissions

11. Intellectual Property

Grace reserves the right to modify these Terms of Use at any time. Updates will be posted on our website, and continued use of the platform constitutes acceptance of the updated terms.

  • Ownership: The Grace platform, including all content, workflows, technology, and branding, is owned by [Your Company Name] and protected under applicable intellectual property laws.

  • Restrictions: You may not copy, reverse-engineer, resell, or otherwise exploit any part of the Grace platform without written permission.

12. Privacy
